Terms of use

Effective: as shown by the version at the bottom of this page. These terms govern access to the Whispy subscription service and, together with the plan displayed at checkout, form the agreement between the customer and Whispy.

1. Operator and contact

Whispy is operated by Whispy at the address shown in the seller information. Contract and support inquiries may be sent to contact@whispy.tech.

2. Eligibility and authority

The service is limited to people who have reached the age of majority where they live. A person subscribing for an organization represents that they have authority to bind it. The organization remains responsible for managing its owners, administrators, members and permissions.

3. Discord account and security

Discord is Whispy’s identity provider. Customers must retain control of their Discord account, secure their devices and promptly report unauthorized access. They must not share access tokens or secrets or bypass service permissions. Some features depend on Discord remaining available.

4. Service description

Within the selected plan limits, Whispy provides organization and operation management, voice networks, access groups, radio and Open-Whispy collaborative spaces. The exact limits, currency, billing interval and price are displayed before checkout. Whispy is not an emergency service and must not be used for communications on which a person’s life or safety depends.

Whispy is an independent service and is not affiliated with or endorsed by Discord, Cloud Imperium Games, Roberts Space Industries, or the sim-racing publishers, studios, series or platforms mentioned on the website.

5. Checkout and contract formation

Before payment, customers can review the plan, price, applicable taxes and fees, billing interval, limits, renewal terms and cancellation policy. An order is formed only after the terms are expressly accepted and Stripe confirms payment. An electronic confirmation and a retainable copy of the contract are then sent to the email address supplied by the customer.

6. Price, tax and payment

Stripe processes payments. Whispy does not receive or retain full card numbers. The customer authorizes Stripe to charge the saved payment method for amounts disclosed at checkout and renewal. Applicable taxes are added or included as displayed before payment. Customers must provide accurate billing information.

7. Renewal and plan changes

Unless canceled, subscriptions automatically renew for each billing period at the price then communicated to the customer. The organization owner can stop renewal in the Dashboard; service then remains available through the paid period unless stated otherwise. A plan change may result in prorated charges disclosed or confirmed by Stripe before they are applied.

8. Cancellation and refunds

Customers can request immediate cancellation or stop renewal through the Dashboard. Upon request, Whispy grants a full refund of a transaction while no Whispy resource has been created for the organization during the paid period. Resources include operations, voice networks, access groups, presets, partnerships, radio stations and Open-Whispy spaces. After the first such creation, no discretionary refund is granted.

This policy does not exclude any mandatory cancellation, rescission, refund or charge-dispute right available under the law where the consumer lives. Cancellation does not cancel amounts already due.

9. Acceptable use

Customers must not use Whispy to:

• violate the law, another person’s rights or applicable Discord rules;
• harass, threaten, impersonate or distribute unlawful or hateful material;
• intercept or transmit communications without the required authorization;
• upload or broadcast radio files without the necessary rights;
• attack, probe, disrupt or bypass service security, permissions or limits; or
• resell the service or make it available outside the organization without written authorization.

10. Customer content and communications

Customers retain their rights in names, configurations, descriptions and files they provide. They grant Whispy a limited, worldwide, non-exclusive licence, for the necessary period, to host, process, transmit and back up this content only to provide, secure and support the service. Customers represent that they have all required rights and consents.

Voice communications are transported in real time and are not recorded or transcribed by Whispy. Files voluntarily uploaded for radio playback are stored until deleted. The Privacy Policy explains these activities.

11. Availability, maintenance and changes

Whispy aims to provide a reliable service but does not guarantee uninterrupted availability. Interruptions may result from maintenance, security work, third-party providers, the Internet or events beyond Whispy’s reasonable control. Features may evolve, but material adverse changes will be communicated within a reasonable period where required by law.

12. Suspension and closure

Whispy may suspend access for non-payment, a security risk, unlawful use, a serious breach or an urgent technical need. When circumstances permit, the customer will be notified and allowed to remedy the breach. Closure does not prevent limited retention required by law or needed to resolve a dispute.

13. Intellectual property

Whispy software, trademarks, interfaces, artwork and documentation are protected. A subscription provides only a personal, limited, revocable, non-exclusive and non-transferable right to use the service during the paid period. No right to copy, modify, extract, reverse engineer or redistribute is granted except where mandatory law provides otherwise.

14. Warranties and liability

Warranties and remedies that cannot legally be excluded remain fully available. To the extent allowed by law, Whispy is not responsible for indirect loss, lost opportunities, interruptions caused by a third party or customer content and conduct. Any other liability is limited to proven, foreseeable direct loss. No limitation applies where prohibited by law, including for intentional or gross fault or bodily injury.

15. Governing law and disputes

The laws of Québec and the applicable federal laws of Canada govern this agreement. Courts with jurisdiction in the judicial district of Sherbrooke, Québec, have jurisdiction, subject to any mandatory right allowing a consumer to apply to courts or authorities where they live. Before filing a claim, customers are encouraged to contact contact@whispy.tech to seek a solution.

16. Language and changes

The French version is offered first and is the authoritative version in Québec. The English version is provided for convenience and international customers. Whispy publishes the date or number of each version and gives appropriate notice of material changes. Where the law requires renewed consent, a change does not apply until that consent is obtained.
